1. About WaveMax
WaveMax is operated by WaveMax Media Inc. ("WaveMax", "we", "us", "our"), a company incorporated in British Columbia, Canada (incorporation number BC1599083), with its registered office at 9675 King George Blvd, Surrey, BC V3T 0T7, Canada. We operate the website wavemax.pro and the WaveMax service: a generative AI platform that turns scripts into narrated, media-rich, editable video projects and rendered videos.
These Terms & Conditions (the "Terms") are a binding agreement between you and WaveMax Media Inc. By creating an account, purchasing a subscription, or using the service, you accept these Terms. If you do not agree to them, do not use the service. WaveMax is offered to consumers for personal and creator use.
2. How to contact us
You can reach us at info@wavemax.pro. We will contact you using the email address on your account, so please keep it up to date.
3. Eligibility
You must be at least 16 years old to create an account or use the service. You must be at least 18 years old, or the age of majority where you live, to make a purchase. If you are under the age of majority, you may only use the service with the consent and supervision of a parent or guardian.
4. The service
WaveMax uses automated and AI systems (the "AI System") to plan scenes from your script, generate a voice-over, research and suggest footage and images, build charts and other visual explainers, assemble an editable video project, and render finished videos ("Outputs").
Using WaveMax requires a modern web browser on a desktop or laptop computer and a stable broadband internet connection. You are responsible for your own device and connection.
5. Payments and merchant of record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to payments, handles billing, collects applicable taxes, and issues invoices and refunds. Paddle's checkout buyer terms and privacy policy apply to your purchase in addition to these Terms.
6. Subscriptions, credits, and prices
- WaveMax is sold as an auto-renewing subscription, billed either monthly or yearly. Active subscribers may also buy supplemental credits as a one-time purchase. Current plans and prices are shown on our pricing page.
- Every plan grants its monthly credit allowance each month. Monthly plans grant it at the start of each monthly billing period; yearly plans are charged for 12 months upfront at a discounted price and grant the monthly allowance each month throughout the yearly billing period.
- Subscriptions renew automatically at the end of each billing period (each month for monthly plans, each year for yearly plans) and your payment method is charged automatically at each renewal, until you cancel.
- Generating a video costs 47 credits per started minute of the final video. Each video's first Video Export is free at either speed. Later Cheap exports cost 3% of the video's generation credits, and later Fast exports cost 10%, rounded up to the nearest whole credit.
- If a video generation fails, any credits already charged for it are returned to your balance automatically.
- Unused credits do not roll over. Your balance resets to your plan's new monthly allowance at the start of each monthly credit cycle. Yearly plans also reset monthly. Any remaining subscription or top-up credits expire at that reset.
- One-time credit top-ups use the per-credit rate of your current paid plan and billing interval when checkout starts. Inner Circle rates also apply. Top-ups do not renew, do not change your subscription, and expire at your next monthly credit reset.
- If a payment is refunded, unused credits associated with that payment are removed. Refund eligibility and any pro-rated amount are described in our Refund Policy.
- An upgrade, including a same-tier switch between monthly and yearly billing, starts a new subscription immediately at the full new-plan price. Your existing balance remains, the new plan's full credit allowance is added, and the previous subscription is canceled so it will not renew. The combined balance expires at the new subscription's first monthly credit reset.
- A downgrade costs nothing when requested. You keep your current plan and credits through the period already paid for, and the lower-priced plan starts at the next renewal.
- Credits have no cash value, are not transferable, and cannot be exchanged for money except where required by law or covered by our Refund Policy.
- We may change plan prices or credit allowances. We will give you at least 30 days' notice by email before a price change takes effect, and it will only apply from your next billing period (your next monthly or yearly renewal). If you do not accept the change, you can cancel before it takes effect.
- If a price is displayed in error, we will contact you before charging and give you the option to confirm at the correct price or cancel.
7. Cancellation and refunds
You can cancel your subscription at any time from the billing portal. Cancellation stops future charges and your plan stays active until the end of the period you have already paid for.
Refunds are governed by our Refund Policy, which includes a 14-day refund window for subscription payments and one-time credit top-ups. Nothing in these Terms limits any statutory cancellation or refund rights you have as a consumer in your country of residence.
8. Your right to use the service
We retain all intellectual property rights in the service and the AI System. While your subscription is active, we grant you a worldwide, non-exclusive, non-transferable right to access and use the service for your personal and creator use, subject to these Terms.
- Do not copy, modify, reverse engineer, or create derivative works of the service or its code.
- Do not circumvent usage limits, credit accounting, or security measures.
- Do not resell the service or provide automated or shared access to it without our written permission.
9. Outputs
As between you and WaveMax, you own the Outputs you create with the service, to the extent we hold any rights in them, from the moment they are created. You grant us a non-exclusive, worldwide license to host, process, and display your Outputs as needed to provide the service to you, for example to store your project, show it in the editor, and render it.
Outputs may include components we own or license (such as design templates, animations, and sound effects). You receive an ongoing license to use those components as part of your Outputs, but not to extract and use them separately.
10. Your content
You keep all rights to the scripts you write and the media you upload ("Your Content"). You grant us a non-exclusive license to use Your Content only as necessary to provide the service, for example generating voice-overs, searching for matching footage, and rendering your video. We do not use Your Content to train our own AI models or for marketing.
You warrant that Your Content:
- is yours or you have the rights needed to use it with the service;
- does not infringe anyone's intellectual property, privacy, or other rights; and
- is not unlawful, defamatory, or obscene.
We may remove Your Content or Outputs that we reasonably believe breach these Terms, and may report unlawful content to authorities where required. You are responsible for keeping your own copies of important content.
11. Third-party media in Outputs
The service can suggest and include third-party footage and images (for example from public web and video sources) in your project as editorial suggestions. We make no representation or warranty that any Output, or any media within it, is rights-cleared or free from third-party intellectual property rights. You are responsible for reviewing your final video and obtaining any licenses or permissions required for how and where you publish it.
12. Acceptable use
When using the service you must not:
- break any applicable law or regulation;
- engage in fraudulent activity, or send spam or other unsolicited communications;
- create or distribute content that is unlawful, defamatory, harassing, or infringes the rights of others;
- generate synthetic media, deepfakes, or manipulated content depicting real individuals in a misleading or harmful way, or without required consent;
- upload or transmit malware or other harmful code;
- attempt to gain unauthorized access to the service, other accounts, or connected systems; or
- disrupt or overload the service.
13. Your account
Your login credentials are personal and confidential. Do not share them with anyone. You are responsible for activity that happens under your account. Tell us promptly if you believe your account has been compromised.
14. Availability and changes to the service
WaveMax is under active development. We may add, change, or remove features at any time, and will try to avoid changes that materially reduce what your plan provides. We aim for high availability but do not guarantee that the service will be uninterrupted or error-free, and we are not responsible for delays or failures caused by internet or network problems or by your own device.
15. AI disclaimers
Outputs are generated by AI systems and may be unpredictable, incomplete, or inaccurate. We make no guarantee about the accuracy of scene plans, narration, captions, charts, or media suggestions. Review your videos before publishing or relying on them.
16. Our responsibility to you
We will provide the service with reasonable care and skill. If the service does not conform to these Terms, tell us and we will re-perform the affected work, fix the problem, or refund you as appropriate. We are responsible for foreseeable loss or damage caused by our breach of these Terms or our negligence. We are not responsible for loss that was not foreseeable, or for business losses such as lost profits, lost revenue, or business interruption.
17. Limitation of liability
To the maximum extent permitted by law, our total liability for any claims arising out of or relating to the service or these Terms, including claims relating to third-party intellectual property in Outputs, shall not exceed the amounts you paid us in the twelve months preceding the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded by law.
18. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, if a renewal payment fails and is not resolved, or if we are required to by law. Where reasonable, we will notify you and give you a chance to fix the problem first. You may stop using the service and cancel your subscription at any time. Sections that by their nature should survive termination (such as ownership, disclaimers, and limitations of liability) survive it.
19. Changes to these Terms
We may update these Terms from time to time. For material changes we will give you at least 30 days' notice by email or on the website before they take effect. If a change negatively affects you, you can cancel your subscription before it takes effect. Continuing to use the service after a change takes effect means you accept the updated Terms.
20. Complaints
If you are unhappy with the service, email info@wavemax.pro with a description of the issue, relevant dates, and the outcome you are looking for. We will acknowledge your complaint and work with you to resolve it. For payment-related complaints you can also contact Paddle, the Merchant of Record, using the receipt they emailed you.
21. Governing law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Mandatory consumer protection laws of your country of residence remain unaffected, and you may bring proceedings in the courts of your country of residence where the law allows.
22. General
If any part of these Terms is found unenforceable, the rest remains in effect. If we do not enforce a right under these Terms, that is not a waiver of it. We may assign or transfer our rights and obligations under these Terms; we will notify you if we do. These Terms are the entire agreement between you and us about the service.
